CarServe Partner Agreement

Version 4, published 15 October 2026. For partners who accepted an earlier version, it takes effect on 14 November 2026. This agreement is between Servicing Stop Limited, trading as CarServe, registered in England and Wales with company number 06558606, whose registered office is at 57 London Road, Enfield, Middlesex, EN2 6DU ("CarServe", "we", "us"), and the business named in the online application ("you", the "Partner"). It starts when you accept it online and we confirm your account.

1. What this agreement covers

1.1 We appoint you, on a non-exclusive basis, to offer CarServe service plans ("Plans") to your customers, usually when they buy a vehicle from you.

1.2 CarServe provides each Plan to the customer under the CarServe plan terms published at carserve.com/terms (the "Plan Terms"). The customer's contract for the Plan is with us, not with you. We are responsible for delivering the servicing, MOTs, collection and delivery, bookings and customer service covered by each Plan.

1.3 You are an independent business. Nothing in this agreement makes you our agent, employee or partner in the legal sense, and you may not make commitments on our behalf other than offering Plans as described here.

2. What you agree to do

2.1 Offer Plans honestly and accurately, using our current prices, inclusions and eligibility rules. Don't describe a Plan as insurance or a warranty, and don't make claims about it that aren't in our materials.

2.2 Only offer Plans for eligible vehicles: cars under 15 years old at the start of the Plan, with under 100,000 miles, and either fully electric or with an engine of 3.0 litres or less, excluding makes and fuel types that we tell you are not eligible.

2.3 Give every customer the Plan Terms before they commit, and tell them about their 14-day right to cancel.

2.4 Log each sale in the CarServe Partner Portal promptly, and in any case within 2 working days, with complete and accurate customer and vehicle details, including the customer's email address.

2.5 Never pressure a customer into buying a Plan or make it a condition of buying a vehicle or finance.

2.6 Follow consumer protection law, including the Consumer Rights Act 2015 and the Digital Markets, Competition and Consumers Act 2024, and any reasonable guidance we give you about selling Plans.

2.7 Use the CarServe name, logo and materials only to promote Plans, in the form we supply, and stop using them when this agreement ends.

3. Payment for Plans

3.1 Plan prices are set by us and shown in the Partner Portal. Customers can pay in full, add the Plan to their vehicle finance through you, or pay CarServe directly in 12 monthly payments.

3.2 Where the customer pays you for a Plan, in full or by adding it to their vehicle finance, you keep your commission and pay us the Plan price less your commission.

3.3 Where the customer pays us by Direct Debit, the customer signs a Direct Debit mandate with us, and we pay you your commission as described in clause 4.

3.4 Each month we send you one statement in the Partner Portal and by email. It shows what you owe us under clause 3.2 for Plans whose 14-day cooling-off period has ended, the commission we owe you that has become payable under clause 4.2, and the balance between them.

3.5 If the balance is due to us, you will pay it by bank transfer within 14 days of the statement date, quoting the statement number. If the balance is due to you, we will pay it within the same period to the bank account your portal manager has given us.

3.6 Direct Debits are set up through the secure Direct Debit form we provide, operated for us by our payment provider. You must not take a customer's bank details for a Plan in any other way.

4. Your commission

4.1 We pay you commission on each Plan sale you log through the Partner Portal, at the rate shown in the Partner Portal for that Plan when the sale is logged.

4.2 For a Plan the customer pays us for by Direct Debit, your commission becomes payable 3 months after the Plan's start date (the "commission date"), provided that on the commission date the Plan has not been cancelled, the Direct Debit is in place and the customer's payments are up to date. Payable commission is included in the next monthly statement and paid under clause 3.5. If the customer's payments are not up to date on the commission date, the commission is held and becomes payable on the first statement after they are brought up to date. The Partner Portal shows the commission date and status of every Plan.

4.3 No commission is payable on a Direct Debit Plan that is cancelled before its commission has been paid. For a Plan under clause 3.2 that the customer cancels within their 14-day cooling-off period, nothing is due between us for that Plan and you will refund the customer within 14 days of being told about the cancellation. Commission that has been paid, or kept under clause 3.2, does not have to be repaid if the customer later stops paying, except for a Plan that was sold in breach of this agreement, through fraud or misrepresentation, or for a vehicle that was not eligible; in those cases you will repay it and we may deduct it from future statements.

4.4 For new partners, commission becomes payable once we have completed our checks on your business. We aim to complete them within 2 working days. Sales logged before then still earn commission.

4.5 Plan prices and commission amounts include VAT where VAT applies. If you are registered for VAT, add your VAT number in the Partner Portal. Each of us is responsible for accounting for its own VAT and other taxes, and we will provide or agree any VAT documents the law requires.

5. The Partner Portal and your team

5.1 You must keep portal accounts to your own staff, with one account per person. Don't share logins.

5.2 The person who accepts this agreement becomes your company's portal manager. Managers approve colleagues who join using your company code and must remove anyone who leaves your business or no longer needs access, promptly and in any case within 2 working days.

5.3 You are responsible for what your users do in the portal.

6. Customer data

6.1 Each of us is a separate controller of the customer personal data it handles, and each of us will comply with UK data protection law (the UK GDPR and the Data Protection Act 2018).

6.2 You will only pass us customer details that you are entitled to share for the purpose of providing the Plan, and you will tell customers that their details are shared with CarServe to set up and run their Plan, with a link to our privacy notice at carserve.com/privacy.

6.3 You will keep customer data you obtain through the portal secure and use it only for the Plan sale. You will tell us without undue delay, and within 24 hours of becoming aware, of any security breach affecting CarServe customer data or portal accounts.

7. Checks and conduct

7.1 You confirm that the information in your application is true and that you will tell us about important changes, such as a change of ownership, address or contact details.

7.2 You agree that we may check your business using public registers such as Companies House and may ask for reasonable evidence about your business.

7.3 Each of us will comply with the Bribery Act 2010 and the Modern Slavery Act 2015.

8. Changes

8.1 We may change Plan prices, Plan inclusions, eligibility rules or commission rates by giving you at least 30 days' notice by email or in the Partner Portal. Changes apply to sales logged after the change takes effect.

8.2 We may update this agreement by publishing a new version and giving you at least 30 days' notice. If you continue to log sales after the new version takes effect, you accept it. If you don't agree, you may end this agreement under clause 9.1.

9. Ending this agreement

9.1 Either of us may end this agreement at any time by giving 30 days' notice in writing, including by email.

9.2 Either of us may end it straight away by notice if the other seriously breaches it and, where the breach can be put right, doesn't put it right within 14 days of being asked to, or if the other becomes insolvent or stops trading.

9.3 We may suspend your portal access immediately while we look into a suspected serious breach, fraud or misuse of customer data.

9.4 When this agreement ends, we will continue to honour every Plan already sold, and we will pay any commission that becomes payable under clause 4.2 for sales logged before the end date, subject to clause 4.3.

10. Liability

10.1 Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

10.2 Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, business or goodwill.

10.3 You will reimburse us for losses we suffer because of claims by customers arising from mis-selling or misrepresentation by you or your staff.

10.4 Subject to clause 10.1, each party's total liability to the other under this agreement in any 12-month period is limited to the greater of £10,000 and the total commission paid or payable to you in that period. This limit does not apply to amounts due under clause 3 or to clause 10.3.

11. General

11.1 This agreement, together with the Plan Terms, is the whole agreement between us about its subject.

11.2 You may not transfer this agreement without our written consent.

11.3 Notices to us go to info@carserve.com. Notices to you go to the email address of your portal manager.

11.4 Accepting this agreement online, by ticking to accept and typing your name, has the same effect as signing it. The person accepting confirms they are authorised to bind the Partner.

11.5 This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
